Euro ERP provides online inventory and accounting software to small businesses and accountants. Euro ERP is the trading name of Euro Solutions. If you use any of our website or Services you agree to comply with and be bound by these Terms. These Terms are binding on any use of the Service and applies from the time you get access to the Service. Euro ERP reserves the right to change these Terms at any time. Euro ERP will do their best to provide you with the latest information but you are obliged to check these terms from time to time on our website. You are deemed to have agreed to these Terms on behalf of any entity for whom you use the Service. Definitions • Euro ERP: means Euro Solutions, which is company registered office are at 9 Ganesh Chandra Avenue, Kolkata -700013, West Bengal, India • Application: means the Euro ERP Application including licensed software used to deploy the application. • Subscriber: means the person who registers with the Euro ERP application and where applicable any entity on whose behalf the subscriber registered to use the service. • You, Your and User: means the subscriber and users registered by the subscriber on the application. • Subscription Fee: means the monthly or annual or three yearly and Lifetime fees (excluding taxes and duties) payable by the Subscriber in accordance with fee structure set out on the website. • Data: means the data entered in the Application by the Subscriber and Users. • Intellectual Property Rights: means any trade mark, patent, copyright, know-how and any other intellectual property rights anywhere in world whether registered or not. • Applicable Law: means the laws of Kolkata Judicious. • Website: The Euro ERP at the domain www.eurosolutions.in and all other sites owned or operated by Euro Solutions. • Service: means the operation of the Application hereunder. • Renewal Term: means each successive subscription period that begins immediately after the end of the current Subscription Term and is equal in duration to it. • Renewal Date: means the first calendar day of a Renewal Term. • Revised Fees: means the Subscription Fee (and, if applicable, any new Service tier or usage limits) that Big Red Cloud notifies to the Subscriber. • Objection Period: means the Fourteen (14)-day Free Trial period that starts on the date these terms are changed or the Fourteen (14)-day period after You incur Revised Fees. Use of the Application Euro ERP the Subscriber a license to access and use the Application on non-exclusive, non-transferable basis that is limited to and subject to this agreement. The Subscriber is solely responsible for granting and managing User access to their information held in the application and undertakes to take all necessary steps to maintain the integrity and confidentiality of the usernames and passwords and will inform Euro ERP of any suspected breaches of user access usernames or passwords. You must only use the Service and Website for Your own lawful internal business purposes, in accordance with these Terms and any notice sent or condition posted on the Website. You may use the Service and Website on behalf of others or in order to provide services to others. If You do so you must ensure that You are authorized to do so and that all persons for whom or to whom you provide these services accept all terms of this Agreement that apply to You. Euro ERP reserves the right to increase the Subscription Fee on each renewal date of Your Service by providing You notice in writing not less than one month in advance. Unless the User cancels the Service 14 days before the Subscription Fee becomes payable, you authorize us to charge the Subscription fee for the Service to Your chosen payment method (see “Cancellation of Subscription” below). Fee Changes and Objection Right Big Red Cloud may increase or decrease the Subscription Fee or modify the Service tier or usage limits for any Renewal Term. Euro ERP will publish the Revised Fees and a summary of package changes in advance. If the Subscriber objects to the Revised Fees or package, it must notify Euro ERP in writing within the Objection Period. Except as set out above or as required by Applicable Law, all Fees remain non-cancellable and non-refundable. Application Updates Euro ERP will continue to add new features and to improve the Application and may update the software without prior notice. All versions of the Application are subject to these Terms & Conditions. Backup of Your Data Euro ERP shall use reasonable skill and care in providing the Service, but Euro ERP does not guarantee or warrant that any Data you may store or access through the Service will not be subject to inadvertent damage, corruption or loss. Euro ERP will store Your Data for a maximum of six years, and any storage required thereafter may be subject to an additional charge.
